1. Name the primary owners of the holding company.
Parent Company of the Holding company, the “Setl Group” Limited Company, was founded and shared by the following natural persons: Shubarev Maksim Valerjevich (60%), Izak Jan Leonidovich (20%) and Semenenko Vjacheslav Vasiljevich (20%).
2. The company’s lifetime.
The “St.-Petersburg Realty” construction firm, one of the initial companies of the Holding company, was set up in 1994.
3. Name the number of companies forming the Holding Company.
The Holding company is formed by more 20 companies aiming their activities at development, general contract services, delivery of hardware, dwelling sale in the primary and secondary housing markets, commercial and housing projects management, consulting.
4. List the companies making the greatest proceeds.
The main line of the Holding company’s activity is development, represented by the Setl City Company (the “Setl City” Limited Company). On results of 2006 the share of this line of activity in the total proceeds of the Holding company was 63% by IFRS.
5. Which real estate segment does the company work in as a developer?
Construction activity takes place in all of the segments: from “economy” to “elite” class. The main amount of the current project portfolio is directed to business class dwelling and commercial real estate.
6. Describe your regional program.
The main amount of the projects is concentrated in Saint-Petersburg and Leningrad region. Construction work is underway in Finland and Kaliningrad region as well. Representing companies have opened in Yaroslavl, Murmansk and Novgorod. Omsk and Surgut are expected to be available in the immediate future.
7. Name the most important projects.
In 2008 the company will start to realize the housing development project of 100 hectares built-on area in the Kudrovo settlement (Leningrad region), the area of the dwelling houses to be built will come to over 1,2 millions square meters. A number of “A” class business centers of 100 thousands square meters total area is getting ready for building in Saint-Petersburg. The regional program is going on well – six dwelling houses are under construction in Kaliningrad region. The construction of two tourist complexes in a resort area in Finland is drawing to a final stage. The company specialists are working towards address program expansion by selecting the most interesting investment projects.
8. What are the main funding sources of the company’s projects?
There are three main funding sources: own funds, shareholders’ funds and other borrowings. Shareholders’ funds have generally been the main funding source in a building sector. Our company had functioned in the same manner till 2006. However at present time financing policy has been gradually redirected towards increasing borrowings, which helps us to maximize company’s profit on the projects. Among our partners there are the largest banks of our region and country such as Savings Bank of Russia, “Saint-Petersburg” Bank, MDM Bank, VTB Bank of the North-West. We were the first in the region, who had started to use fund-in-trust along with the general manner of project financing in cooperating with Savings Bank of Russia. In May, 2007, the “Setl Group” Limited Company, the management company of the holding company, floated a debut bonded loan on the MICEX Stock Exchange.
